These Terms of Service ("Terms") govern your access to and use of the websites, dashboards, applications, hardware, and related services (collectively, the "Services") provided by Quartermaster AI Inc. ("Quartermaster," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
You must be at least 18 years of age and have the authority to bind your organization to enter into these Terms. You agree to provide accurate, current, and complete information when creating an account and to keep it updated. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
Subject to these Terms and your payment of applicable fees, Quartermaster grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes.
You agree not to: (a) reverse engineer, decompile, or attempt to derive the source code of the Services; (b) interfere with or disrupt the Services or related networks; (c) use the Services to transmit unlawful, infringing, or harmful content; (d) attempt to gain unauthorized access to any system or data; (e) resell, sublicense, or commercially exploit the Services except as expressly permitted; or (f) use the Services in violation of applicable laws or export controls.
Fees for paid Services are described in your order form or applicable purchase agreement. All fees are non-refundable except as required by law or expressly stated. Quartermaster may suspend Services for non-payment following reasonable notice.
You retain all rights to the data you or your end users submit to the Services ("Customer Data"). You grant Quartermaster a worldwide, non-exclusive license to host, process, and use Customer Data solely to provide and improve the Services, and to create aggregated or de-identified data that does not identify you or any individual. Our handling of personal information is described in our Privacy Policy.
The Services, including all associated software, hardware designs, models, documentation, trademarks, and content (excluding Customer Data), are and remain the exclusive property of Quartermaster and its licensors. No rights are granted except as expressly stated in these Terms.
Certain Services involve physical hardware (such as SmartMast systems). Hardware is provided subject to the applicable order form and any accompanying installation, maintenance, and warranty documentation. Title and risk of loss are determined by that documentation.
The Services may interoperate with third-party products or data sources. Quartermaster is not responsible for third-party offerings, and your use of them is governed by their respective terms.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. Quartermaster does not warrant uninterrupted or error-free operation. The Services are decision-support tools and are not a substitute for qualified professional judgment, navigation, safety, or regulatory compliance decisions.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUARTERMASTER WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT, OR OTHERWISE. QUARTERMASTER'S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM.
You agree to defend, indemnify, and hold harmless Quartermaster and its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, and expenses arising out of your use of the Services, your Customer Data, or your breach of these Terms.
Either party may terminate for material breach that is not cured within 30 days of written notice. Upon termination, your right to use the Services ends. Sections intended to survive termination will survive, including sections on intellectual property, disclaimers, limitation of liability, indemnification, and governing law.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The exclusive venue for any dispute arising out of or related to these Terms is the state or federal courts located in Delaware, and the parties consent to jurisdiction there. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
We may update these Terms from time to time. The updated Terms will be effective when posted. Continued use of the Services after changes constitutes acceptance of the revised Terms.
